Basic Co-Location Agreement

This agreement is made this day____month_______2008, between The Eng Group LLC, a Florida corporation (TEG), located at 18851 NE 29tth Ave, suite 700, Aventura, Fl 33180 and (Client) those address is___________________________________________________________

1. 1.      TEG will provide the client with a design and projection of Customer’s design on a digital plasma, LCD or digital projectors, at the location chosen by the Client.

2. 2.      The Client agreed to pay the cost of the digital design, and monthly advertise cost, at the location and for the duration of the time chosen, based on a TEG invoice.

3. 3.      The terms of this Agreement shall commence as of____________________________.

4. 4.      TEG and Client can terminate this contract agreement at any time upon thirty (30) days advance written notice to the other party.

5. 5.      The client will provide the material for the advertise design and TEG will send up to 3 proof for customer approval, via e-mail.

6. 6.      THE CONTENT OF THE CLIENT ADVERTISE, THE USE OF LOGOS AND COPYRIGHT MATERIAL IS ENTIRELY RESPONSIBILITY AND UNDER CLIENT LIABILITY.

7. 7.      This agreement can be renewed.

8. 8.      The advertise Co-Location will run at the designated location, during the commercial hours of the respective business.

9. 9.        For each location, TEG estimates that will supply at least 2 Customer digital advertise of 30 seconds for every hours, at least 8-10 hours a day, 25-30 days a month.

10. 10.  For multiple locations we will supply a special price for the Customer.

11. 11.  If the Customer will bring additional client(s) for the advertise, will be entitled to a 30% commission over the advertise cost.

12. 12.  If the Customer wants to become a Host, and have the sufficient clients’ traffic, we will consider this on special terms.

13. 13.  Except as otherwise required by law, Customer agrees to maintain the confidentiality of the technology, trade secrets and pricing offered to Customer by TEG and all other terms under this Agreement.
